Background

H₂Infra NV, a subsidiary of Belgian clean energy company CMB.TECH, has acquired the Ohlthaver & List (O&L) Group’s 51% stake in Cleanergy Solutions Namibia, positioning itself as the sole shareholder of the hydrogen venture.

The transaction, announced this week, is still subject to approval by the Namibian Competition Commission. Once finalised, the deal will give CMB.TECH full ownership of Cleanergy Solutions, which operates one of Namibia’s flagship green hydrogen pilot projects near Walvis Bay.

O&L Group chairperson Sven Thieme said the decision reflects confidence in CMB.TECH’s capacity to scale the project.

“CMB.TECH is well placed to drive the company forward,” Thieme said. “We remain committed to supporting Namibia’s broader green hydrogen ambitions.”

Cleanergy Solutions has been a public-private partnership between O&L and CMB.TECH, focusing on renewable hydrogen production and infrastructure development. The full acquisition marks a strategic move for CMB.TECH as it deepens its footprint in Namibia’s emerging hydrogen industry.
